1. Purpose
This Reseller Agreement ("Agreement") establishes the terms under which PageTap authorizes approved businesses and individuals to market and resell PageTap subscriptions.
By accepting this Agreement, you agree to comply with its terms in addition to the PageTap Terms of Service, Privacy Policy, and Acceptable Use Policy.
2. Definitions
For the purposes of this Agreement:
Active Hosted Site means a published PageTap mobile website that is active and billable during a monthly billing cycle.
Customer means a person or business purchasing PageTap services through the Reseller.
PageTap Platform means all software, hosting, services, applications, APIs, websites, and related technology provided by PageTap.
Reseller Workspace means the administrative dashboard assigned to the Reseller for managing customer accounts and websites.
Wholesale Fee means the monthly amount payable by the Reseller to PageTap for each Active Hosted Site.
3. Appointment
PageTap appoints you as an authorized reseller of the PageTap platform.
Unless otherwise agreed in a separate written agreement signed by both parties, this appointment is non-exclusive.
Nothing in this Agreement creates a partnership, franchise, agency, employment relationship, or joint venture between the parties.
The Reseller acts solely as an independent contractor.
4. Eligibility
To become and remain a PageTap Reseller, you must:
- Be at least eighteen (18) years of age.
- Have legal authority to enter into this Agreement.
- Maintain accurate account information.
- Comply with all applicable laws.
- Remain in good standing with PageTap.
5. Reseller Rights
Subject to this Agreement, the Reseller may:
- Market the PageTap platform.
- Sell subscriptions to customers.
- Create and manage customer websites.
- Set their own retail pricing.
- Use approved PageTap marketing materials.
No ownership rights in the PageTap platform are transferred under this Agreement.
6. Reseller Responsibilities
The Reseller agrees to:
- Acquire and manage customers.
- Bill customers directly.
- Provide first-level customer support.
- Maintain professional business practices.
- Ensure customers comply with all applicable PageTap policies.
- Promptly report platform misuse or security concerns.
7. Pricing
PageTap will charge the Reseller the applicable wholesale fee for each Active Hosted Site.
Current pricing is published separately and may be updated from time to time with reasonable notice.
The Reseller is free to determine their own retail pricing unless otherwise agreed in writing.
8. Billing
Wholesale fees are billed monthly.
Failure to pay invoices when due may result in suspension or termination of reseller privileges.
9. Customer Relationships
Customers acquired by the Reseller remain the responsibility of the Reseller.
The Reseller is responsible for customer communication, billing, onboarding, and first-level support.
PageTap may communicate directly with customers regarding platform operations, maintenance, security, or legal matters when necessary.
10. Territory
This Agreement does not grant an exclusive territory.
Exclusive territories, if offered by PageTap, are governed by a separate written agreement signed by both parties.
11. Intellectual Property
PageTap retains all ownership rights in:
- Software
- Source code
- Branding
- Logos
- Trademarks
- Documentation
- Website designs
- Platform features
The Reseller receives only the limited right to market and resell the PageTap service.
12. Branding
The Reseller may use approved PageTap branding only while participating in the reseller program.
Branding may not be modified or used in any misleading manner.
13. Privacy
The Reseller agrees to comply with all applicable privacy laws.
Customer information must be handled responsibly and in accordance with the PageTap Privacy Policy.
14. Confidentiality
Both parties agree to protect confidential business information received from the other party.
15. Independent Contractor
The Reseller operates as an independent business.
Nothing in this Agreement creates an employment, agency, partnership, or franchise relationship.
16. Taxes
The Reseller is solely responsible for determining, collecting, reporting, and paying any taxes arising from its business activities.
17. Suspension
PageTap may suspend reseller services for:
- Non-payment
- Fraud
- Abuse of the platform
- Security concerns
- Material breach of this Agreement
18. Termination
Either party may terminate this Agreement by providing thirty (30) days' written notice.
PageTap may terminate immediately for serious violations of this Agreement.
19. Effect of Termination
Upon termination:
- Outstanding invoices become immediately due.
- Use of PageTap branding must cease.
- Reseller access may be revoked.
- Customers may continue receiving PageTap services under arrangements determined by PageTap to avoid service interruption.
20. Limitation of Liability
To the fullest extent permitted by law, PageTap shall not be liable for indirect, incidental, consequential, or special damages arising from this Agreement.
21. Changes to this Agreement
PageTap may revise this Agreement from time to time.
Material changes will become effective after notice has been provided through the PageTap platform or by email.
22. Governing Law
This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
23. Entire Agreement
This Agreement, together with the PageTap Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between the parties regarding the reseller relationship.
24. Electronic Acceptance
By selecting "I Agree" during registration or accepting this Agreement electronically, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
